Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Zynlab website and the Zynlab agentic chat & voice platform (the "Service"), provided by Zynlab ("Zynlab", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind it.
1. The Service
Zynlab is a multi-tenant backend that lets businesses run an AI assistant that answers from their own knowledge, calls their systems through configured tools, and talks to their customers over chat and voice. Features and limits vary by plan and may change over time.
2. Accounts
- You must provide accurate information and keep your credentials and API keys secure.
- You are responsible for all activity under your account and API keys.
- You must verify your email to provision an account; one free workspace per business.
- You must be of legal age to form a binding contract in your jurisdiction.
3. Acceptable use
You agree not to, and not to permit anyone to:
- Use the Service unlawfully, or to generate or distribute unlawful, harmful, or deceptive content.
- Attempt to disrupt, overload, reverse engineer, or circumvent rate limits, quotas, or security controls.
- Resell, sublicense, or provide the Service to third parties except as expressly permitted by a separate agreement.
- Upload content you lack the rights to use, or use the Service to violate others' privacy or IP rights.
- Process sensitive personal data without an appropriate lawful basis and any required agreements (e.g. a data processing agreement).
4. Your content and responsibilities
You retain ownership of the knowledge, configurations, and content you provide ("Tenant Content"). You grant us a limited license to host and process Tenant Content solely to provide and secure the Service. You are responsible for your end-users — including giving them any required notices and obtaining any required consents — and for the lawfulness of the content and tools you connect.
5. AI output
The Service uses automated language models. Output may be inaccurate, incomplete, or unsuitable for a given purpose, and is not professional (legal, medical, financial, or other) advice. You are responsible for reviewing and for how you use output, and should apply appropriate human oversight, especially for actions taken through connected tools.
6. Plans, fees, and billing
- The free plan is offered subject to usage allowances and fair-use limits, and may change or be discontinued.
- Paid plans are billed per the pricing presented at upgrade; usage is metered.
- We may change pricing prospectively with reasonable notice.
- Fees are exclusive of taxes unless stated otherwise.
7. Availability
We aim for high availability but do not guarantee uninterrupted service. The free plan is provided without a service-level commitment. We may perform maintenance and may modify or discontinue features.
8. Intellectual property
The Service, including its software, design, and brand, is owned by Zynlab and its licensors. Except for the limited rights expressly granted, no rights are transferred to you. You may not use our marks without permission.
9. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, abuse, security risk, or non-payment. On termination, your right to use the Service ends; certain provisions survive (e.g. ownership, disclaimers, limitation of liability).
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, Zynlab will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the 12 months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Zynlab harmless from claims arising out of your Tenant Content, your use of the Service, your end-users, or your breach of these Terms.
13. Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules. The courts of Cebu City, Philippines will have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
14. Changes
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
